MEMPHIS, Tenn.–(BUSINESS WIRE)–Riverview Acquisition Corp. (the “Company”), a blank check company whose business purpose is to effect a merger, capital stock exchange, asset acquisition, stock purchase, reorganization or similar business combination with one or more businesses, announced today that it has priced its initial public offering of 25,000,000 units at $10.00 per unit. Each unit consists of one share of common stock and one-half of one redeemable warrant. Each whole warrant is exercisable to purchase one share of Class A common stock of the Company at a price of $11.50 per share. Only whole warrants are exercisable and will trade. Once the securities comprising the units begin separate trading, the Class A common stock and warrants are expected to be listed on the Nasdaq Capital Market under the symbols “RVAC” and “RVACW,” respectively.
Cantor Fitzgerald & Co. is acting as sole bookrunner for the offering, and Stephens Inc. is acting as co-manager. The Company has granted the underwriters a 45-day option to purchase up to an additional 3,750,000 units at the initial public offering price to cover over-allotments, if any.
The Company intends to focus on combining with consumer-focused enterprises, including e-commerce, on the energy services and renewables sector and on the insurance and financial services sector.
